TERMS OF USE AND END USER LICENSE AGREEMENT

These Terms of Use and End User License Agreement (“Terms”) govern your use of https://www.dpembroidery.com/, our customer dashboard, and related online tools (the “Services”) provided by Dynamic Productions Inc. (“Dynamic Productions,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who May Use the Services
The Services are intended for business customers and authorized users 18 years of age or older. If you use the Services on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.
2. License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, solely to request quotes, place and manage orders, and communicate with us.
You may not:
– Copy, modify, reverse engineer, or create derivative works of the Services.
– Sell, sublicense, or provide access to the Services to unauthorized third parties.
– Attempt to bypass security, scrape the site, or disrupt the Services.
– Use the Services for any unlawful purpose.
All software, design, text, and other content in the Services (other than materials you provide) remain our property or that of our licensors.
3. Accounts
You are responsible for keeping login credentials confidential and for all activity under your account. Notify us promptly if you believe your account has been misused. We may suspend or terminate access if these Terms are violated or if needed to protect the Services.
4. Customer Materials
You may upload or send artwork, logos, text, and other files (“Customer Materials”). You represent that you own or have the right to use those materials and to authorize us to use them to quote, produce, and fulfill your orders.
You grant us a limited license to use Customer Materials as needed to provide the Services and complete production. We are not responsible for errors in files, spelling, or design approvals you provide.
5. Orders and Production
Quotes, prices, lead times, and product availability may change until an order is accepted. Production, sampling, shipping, returns, and payment terms are as agreed on your quote, invoice, or order confirmation. These Terms cover use of the website and dashboard; they do not replace a signed production or sales agreement if one exists.
6. Privacy
Our collection and use of personal information is described in our Privacy Policy.
7. Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNAMIC PRODUCTIONS AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT PAID US.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Indemnity
You agree to defend and hold us harmless from claims arising out of your use of the Services, your Customer Materials (including alleged IP infringement), or your violation of these Terms.
10. Termination
We may suspend or end access to the Services at any time. Upon termination, your license ends. Sections that by their nature should survive (including ownership, Customer Materials representations, disclaimers, liability limits, and indemnity) will survive.
11. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California, unless applicable law requires otherwise.
12. Changes
We may update these Terms from time to time. The “Last updated” date will change when we do. Continued use of the Services after an update means you accept the revised Terms.
